Terms of Service

1. Acceptance of Terms

By accessing or using the FirstHx web application or any related services (the “Services”), you (“User”) agree to be bound by these Terms of Service and by our Privacy Policy. If you do not accept all terms, you must not use the Services.

2. Scope & Intended Use

FirstHx is a digital history‑taking tool intended to assist—but not replace—the independent clinical judgment of regulated health‑care professionals. The FirstHx Note does not imply, suggest, or confirm a diagnosis; the information it generates may be incomplete, contain errors, or be consistent with multiple possible diagnoses. Clinicians remain solely responsible for reviewing the note, verifying its accuracy, and determining how (if at all) to rely on it in patient care.

3. Account Security

Users must safeguard login credentials and are liable for all activity under their accounts, including activity by authorized staff or patients .

4. License Grant & Restrictions

We grant you a limited, non‑exclusive, non‑transferable right to access the Services during your subscription. You may not (i) copy, sublicense, sell, or rent the software; (ii) reverse‑engineer or attempt to access source code; (iii) bypass security; (iv) perform penetration tests without written consent; or (v) use the Services in violation of law or to transmit malicious code .

5. Service Levels & Support

FirstHx targets 99 % monthly uptime; a report and remediation plan will be provided if this target is missed .
Tier 1 help‑desk support is available 09:00–17:00 ET, Monday–Friday, via the portal or support@firsthx.com . Initial response goals: Severity 1—4 h, Severity 2—12 h, Severity 3—48 h .

6. Scheduled Downtime & Updates

We may suspend access for maintenance, security emergencies, or if you breach these Terms, and you must accept all patches and updates .

7. Privacy and Security

FirstHx maintains industry‑standard administrative, physical, and technical safeguards for all personal or health information provided through the Services . If we confirm any privacy breach, we will (i) notify you promptly by phone and e‑mail, (ii) investigate, and (iii) mitigate harm .

8. Fees & Payment

Where fees apply, invoices are issued monthly in Canadian dollars and are payable within 30 days . Taxes, duties, and similar charges are your responsibility .

9. Intellectual Property Rights

FirstHx and its licensors retain all IP rights in the Services; only the limited license above is granted . Suggestions or feedback you provide may be used by FirstHx without restriction, and related IP rights are assigned to FirstHx .

10. User Data

You retain ownership of your data but grant FirstHx a worldwide, royalty‑free right to process it to operate and improve the Services; aggregated or de‑identified data may be used for analytics .

11. No Warranties

The Services are provided “as is” and “as available,” without any express or implied warranties, including merchantability, non‑infringement, or fitness for a particular purpose .

12. Limitation of Liability

FirstHx’s total liability to all users in any six‑month period is limited to the fees you paid in that period, and we are never liable for indirect, consequential, or special damages, lost profits, loss of data, or similar harms .

13. Indemnification

You will indemnify and hold harmless FirstHx and its affiliates against any third‑party claims arising from (i) your use of the Services, (ii) access obtained through you, or (iii) your breach of these Terms .

14. Term & Termination

Subscriptions renew annually unless either party gives 60 days’ notice before the end of the current term . FirstHx may terminate for non‑payment after 10 days’ notice or other material breach after 30 days’ notice . Upon termination you must cease use, delete all copies, and pay any outstanding fees .

15. Logo & Publicity

FirstHx may use your name and logo in public marketing to identify you as a customer; reciprocally, you may identify FirstHx as your service provider .

16. Confidentiality

Each party must protect the other’s confidential information and may disclose it only to personnel or advisers with a need to know, or as required by law .

17. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and you consent to the exclusive jurisdiction of the courts of Toronto, Ontario .

18. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page or communicated via the Services. Continued use after the effective date constitutes acceptance.
